CLICKTHROUGH

Clickthrough is a digital agreement mechanism where users accept online terms by clicking an “Agree,” “Accept,” or similar button. It ensures clear, trackable consent to standardized terms such as Terms of Use, Privacy Policies, and other legal documents.

LegalHub is a customizable workspace within SpotDraft that allows companies to host, organize, and present all their agreements in one central location. It provides a branded, structured, and easily accessible repository for internal and external stakeholders.

VerifAI is SpotDraft’s AI-powered contract review assistant that assists in automatically analyzing contract language, highlighting risks, and comparing terms against your internal playbooks or preferred positions.

SMART DATA CAPTURE

Smart Data Capture (“SDC”) refers to SpotDraft’s structured data capture capabilities that help extract, map, and organize contract metadata during migration or ingestion. It provides assistance in ensuring that all agreements entering SpotDraft are standardized, searchable, and aligned with your contract model.

  • Self-Serve Data Capture: Upload contracts and map metadata using SpotDraft’s migration template.

  • AI-Powered Metadata Extraction: Use SpotDraft AI to help automatically extract key fields from contracts.

  • Assisted Data Capture: SpotDraft’s legal ops team manually extracts metadata — including parent–child relationships — for high accuracy.

  • Support for Standard & Custom Fields: Metadata field limits depend on plan and onboarding package.

  • Template-Based Import Structure: Migration template ensures clean mapping to platform structure.

 

  1. Extent & Limitations

  • AI extraction accuracy improves with training; complex fields may need manual review.

  • Assisted extraction incurs additional cost.

  • Migration timelines depend on volume, document quality, and customer responsiveness.

 

  1. Fair Use Policy (FUP)

  • Standard data capture supports the metadata fields included in your package (e.g., 10, 20, 30 fields depending on plan).

  • FUP for SDC is set at total runs of 5X the number of: base contracts purchased under the CLM package + additional contracts purchased in a year 

  • Large-volume extractions or custom field requirements may require Managed Services.



INTAKE (BETA ACCESS)

Intake is SpotDraft’s workflow system that serves as the front desk for non-contractual legal requests, allowing business users to submit structured tickets through configurable questionnaires. It centralizes all incoming legal requests in one organized dashboard.

  • Intake manages non-contractual legal requests only; contract creation workflows remain separate.

  • Requires initial setup to align questionnaires and workflows with internal processes.

  • Intake does not provide automated AI review or contract analysis.

    Sidebar is an AI-powered legal assistant that supports in-house teams by answering legal and operational questions using multiple AI agents. It provides instant responses sourced from web search, internal knowledge, and uploaded documents—reducing reliance on the legal team for routine queries.

OBLIGATION MANAGEMENT (BETA VERSION)

 

  1. Definition

 

Post contract execution, users can extract contractual obligations either manually or by leveraging SpotDraft’s AI to generate an initial set of obligations for their review and confirmation. Saved obligations can then be assigned to relevant team members for compliance tracking, managed as tasks within the SpotDraft platform.



  1. Features

  • AI assists in extracting obligations based on user inputs

  • Ability to accept/reject AI extracted obligations

  • Categorising obligations by their priority and different types

  • Ability to mark obligations as tasks and assign it to one or more team members

 

  1. Extent & Limitations

  • Recommended to run on one contract at a time so no bulk support

  • AI extraction can contain errors and humans in the loop are required to review AI output.

  • Does not work on scanned PDFs

  • No reporting capabilities yet.

  • No single repository for all the obligations. Users can access the obligations as tasks from their own task center

  • No maker- checker (approval) workflows

  • No audit logs/conversations on obligation level

  • No marking of evidences directly on the obligation

  • Ability for users to add and configure their own obligation types




ADDITIONAL DOCUMENT BUNDLES

If Customer’s use exceeds the usage indicators set forth in the Order Form or otherwise requires the payment of additional fees, Customer shall be billed for such usage at a mutually agreed price.

 

INTEGRATIONS

  • Integrations (preferably define scope and limitation of each out of the box integration)

  • Free Integrations:

  • Collaboration tools such as Slack, Microsoft Team, etc.: Receive real-time contract updates, targeted notifications, and access key contract information within your Slack or Microsoft Teams environment.

  • Cloud Storage: 

    • Seamlessly save executed contracts to your cloud storage provider for better organization and collaboration. SpotDraft offers integrations with Google Drive, Dropbox, SharePoint, Box and Microsoft OneDrive.

    • Users can choose a specific Site, Drive, and Folder to store all executed contract PDFs. They can also set a uniform naming convention to make finding and retrieving these documents easier.

  • Google Forms: You can use SpotDraft’s Google Forms integration to:

    • Create Contracts: Fill out a Google Form to initiate contract creation in SpotDraft, and ensure the email used matches a SpotDraft account for accurate record linking. Upon form submission, data automatically populates a predefined contract template in SpotDraft.

    • Send Notifications: Send email alerts to up to 50 recipients when a new contract is initiated, for quick review and action.

  • Email Integrations: Upload contracts from your inbox to SpotDraft using an email integration, enabling seamless upload, version control, and intake form completion directly from emails. SpotDraft offers integrations with Outlook and Gmail.

  • Base Integrations:

  • eSign Tools

    • DocuSign Integration: Seamlessly integrates with DocuSign to send contracts for eSignatures via SpotDraft using DocuSign’s eSignature service.

Note: SpotDraft platform includes its own fully compliant native eSignature service available at no extra cost.

  • SSO Integration: Enable authentication and user provisioning for your SpotDraft workspace using SAML 2.0, SCIM Core v2, or SpotDraft’s integrations with Okta, Azure, or OneLogin.

  • Advanced Integrations – Grade 1:

  • HubSpot: Connect SpotDraft with HubSpot to launch workflows directly from your CRM, sync contract data, and improve visibility across both platforms. You can:

    • Launch workflows (template & third-party paper) from within HubSpot directly from HubSpot’s deal object and map HubSpot fields to SpotDraft workflow attributes

    • Sync completed contracts and properties from SpotDraft’s Repository to HubSpot’s deal object.

  • Zoho CRM: Connect SpotDraft with Zoho CRM to generate contracts directly from Zoho deals and accounts, auto-populate templates with Zoho fields, and standardize contract creation. You can:

    • Trigger SpotDraft workflows from Zoho deal and account records using custom buttons.

    • Map Zoho fields to SpotDraft workflow attributes to avoid manual data entry and reduce errors.

    • Attach generated contracts back to Zoho records so sales and legal share a single source of truth

  • Developer Pack (Public API): Integrate SpotDraft with other applications using SpotDraft’s open API. This includes access to REST endpoints, web-hooks, and authentication tokens. Purchasing API Access is required for any API use that is not included in another separately purchased integration provided by SpotDraft.

  • Advanced Integrations – Grade 2:

  • Salesforce: Connect SpotDraft with Salesforce to launch workflows directly from your CRM, sync contract data, and improve visibility across both platforms. You can:

    • Launch workflows (template & third-party paper) from within Salesforce using a custom Lightning Web Component and map Salesforce fields to SpotDraft workflow attributes

    • Sync completed contracts and properties from SpotDraft’s Repository to Salesforce’s standard Contract object or a custom object.

  • Jira: Create contracts on SpotDraft using details from Jira tickets, or upload attachments as customer contracts.

  • Coupa: Connect SpotDraft with Coupa to launch workflows directly from your procurement system, sync contract data, and improve visibility across both platforms. You can:

    • Launch third-party paper workflows from Requisition Lines in Coupa and map Requisition line fields to SpotDraft workflow attributes.

    • Sync executed contract metadata and PDFs from SpotDraft back to Coupa to keep downstream procurement workflows moving without manual handoffs

 

  • eStamp Paper (India only)

  • Add eStamps to your contracts from your SpotDraft stamp inventory or procure them as needed for a specific contract.

  • At the request of the Customer, SpotDraft can facilitate the procurement of electronic stamp paper and payment of stamp duty on documents executed using SpotDraft. SpotDraft may execute such processes with third-party service providers. The Customer shall be liable to pay the charges for such services, as specified by SpotDraft.

 

  • Aadhaar eSign (India only)

  • At the request of the Customer, SpotDraft can facilitate the procurement of electronic stamp paper and payment of stamp duty on documents executed using SpotDraft. SpotDraft may execute such processes with third-party service providers. The Customer shall be liable to pay the charges for such services, as specified by SpotDraft.

  • Enhance the security of your contract signing process with Aadhar-based signing.

  • Seamlessly integrate with Aadhaar eSign to send contracts for eSignatures via SpotDraft using the Aadhaar eSignature service. SpotDraft may execute such processes with third party service providers. 



MANAGED SERVICES

 

  1. Definition

Managed Services offer continued support from SpotDraft’s Delivery team (Legal Ops and Implementation teams) for maintenance and fine-tuning of your existing workflow, metadata management, user enablement, and platform configuration. These packages extend beyond standard support to provide customers with ongoing operational assistance, training, and expert guidance from Legal Ops and Implementation Managers.

  • Creation and maintenance of workflows, including intakes

  • Minor workflow updates (intake, approvals, routing, signatories)

  • Paralegal-style administrative assistance for repository management. Paralegal services include limited basic tasks such as routing contracts from signature, uploading contracts in repository, updating metadata, playbook creation, first level review in accordance to playbook, draft creation, etc. as per instructions of the Customer. Paralegal services do not intend to be legal advice or legal service.

CUSTOM INTEGRATIONS

  1. Definition

Custom Integrations refer to bespoke, customer-specific integrations built by SpotDraft to connect the SpotDraft platform with third-party systems that are not supported through out-of-the-box integrations or that require tailored logic, data mappings, or workflows beyond standard configurations.

 

These integrations are designed to meet unique business, legal, or operational requirements and are delivered through SpotDraft’s Custom Integrations team.

 

  1. Features (subject to scoping)

  • Bespoke System Connectivity: Custom-built integrations with third-party tools such as ERPs, CRMs, procurement systems, finance systems, HR platforms, or internal applications.

  • Tailored Data Mapping & Sync Logic: Custom field mappings, transformations, validations, and conditional sync logic based on customer-specific contract workflows and metadata models.

  • Event-Based & API-Driven Integrations: Support for webhook-based triggers (e.g., contract executed, contract created) and API-based data exchange between SpotDraft and external systems.

  • One-Way or Two-Way Sync: Ability to design integrations as one-directional or bi-directional, depending on business needs and system constraints.

  • Environment-Specific Configuration: Support for sandbox, staging, and production environments, where applicable and supported by the third-party system.

  • Documentation & Handover: High-level technical documentation covering integration scope, data flow, and operational considerations.

 

  1. Extent & Limitations

  • Scope is Contractually Defined: Each custom integration is scoped explicitly during discovery and documented as part of the Statement of Work (SOW). Any functionality outside the agreed scope is treated as a change request.

  • Not Included in Base Packages: Custom Integrations are not included in Foundation, Accelerate, or Elevate packages and are priced separately.

  • Dependency on Third-Party APIs: Integration behaviour, performance, and reliability are dependent on the availability, stability, and limitations of third-party APIs.

  • Maintenance Scope is Limited: Post-delivery support includes bug fixes related to the original scope. Enhancements, logic changes, or support due to third-party API changes may require additional paid effort or Managed Services.

  • Security & Compliance Constraints: Integrations must comply with SpotDraft’s security standards. Certain customer or third-party requirements may limit feasibility or increase delivery timelines.

  • Timeline Depends on Complexity: Delivery timelines vary based on system complexity, API maturity, documentation quality, and customer responsiveness during discovery and testing.

  • Reasonable Usage Assumption: Custom Integrations are designed for reasonable, business-as-usual usage patterns as defined during scoping.

  • Excessive Load or Volume: High-frequency API calls, large-scale data backfills, or bulk syncs beyond agreed assumptions may require re-scoping or additional infrastructure costs.

  • Change in Usage Patterns: Significant changes in transaction volume, contract count, or integration behaviour after go-live may require a review and commercial adjustment.

  • Third-Party Cost Impact: Any additional costs imposed by third-party systems (API limits, licensing, throttling) are the customer’s responsibility.

  • Out-of-the-box integrations follow predefined templates and configurations.

  • Custom Integrations are built specifically for customer requirements and are not reusable or productized unless explicitly agreed.

  • Customers are encouraged to evaluate existing integrations before opting for a custom build.
